ANonprofit board members do NOT get paid - they are entirely volunteer. That's what makes an organization a nonprofit, actually. Every nonprofit is different in how board members become board members - some require a candidate be nominated by another board person, some allow people to self-nominate, some board members are appointed, some are elected, some serve as long as they want, some have term limits, and on and on. Board members are fiscally responsible for the organization. Many organizations require a board member to donate or to raise a certain amount of money. I worked at an organization where this amount was $25,000 each. That's why many board members are, as you put it, "rich" - their job is to make sure the organization has enough money to do what needs to be done, and they have rich colleagues that can donate. Board members do not (or, at least, should not) oversee day-to-day operations. They don't have to be experts in the field that the nonprofit works in. Their role is to hire the Executive Director and make sure that person is doing his or her job, overall, and to make sure the organization has enough money to operate. Period. AIf the situation is that you are management and are (a) asking the Board to approve something but while some of the Board is satisfied with the background materials you have presented but one of the other Board members wants more, or (b) presenting monthly or quarterly to the Board and one of the Board members is asking for more detail, the analysis is not whether one or the other Board members has more rights than another but whether you as management have any ability to say that the Board member's request is improper.A Board member has a duty of care to the corporation and as part of that duty of care, if he or she feels that he or she needs more information to make a decision as management you'd need pretty strong grounds to deny that.The one clear case would be if this particular Board member had a conflict of interest (lets say its a transaction with a company that is the rival of the company your Board member is an executive of or is a loan from the investment bank your Board member works for), then you could say that the Board member is conflicted anyway and would not be able to vote so the information is not relevant. Board members serve at the pleasure of the stockholders so if this Board member is not also a stockholder or you have majority stockholders who would support your decision, you could call a stockholder meeting and remove that Board member. The real question is why are you so concerned about showing information to a Board member. As an S-Corporation the board members may be liable in Civil Court for certain things that take place, such as curroption. If corruption is not the cause for the failed event, then the only people that should be worried about is the President of the Non Profit and the Treasurer. Never the less, the board members have the responsibility of doing everything possible to get the loan repayed.All boardmembers and other members of the organization should pitch in to help repay the loan, and get the organization out of troubles. Call it a "members loan". Then the you can organize another event to recover what you loaned to the organization.Wish you luck.

AHello!Unfortunately, to hire someone from the outside as treasurer you will have to go through the process of making them a board member and elect them into the treasury position.
